ABBY’S GREEN CLEANING TERMS AND CONDITIONS

1. Acceptance of Terms and Conditions. The following terms and conditions (the “Terms”) apply to your (“Customer” or “you”) use of this website (the “Site”) and use of the professional cleaning services, as described on the Site, (“Cleaning Services”) provided by Abby’s Green Cleaning Services, LLC (“Abby’s”, “we”, “us”, or “our”). By accessing the Site in any way or using the Cleaning Services, the Customer agrees to and is bound by these Terms without limitation or qualification. Please read these Terms carefully before purchasing Cleaning Services through the Site or otherwise using the Site.

2. Applicability. The parties agree that these Terms are a legally binding contract enforceable by and against each party and its respective heirs, successors, and assigns, in accordance with the Terms. These Terms, along with the Quote (defined below) from Abby’s, represents the entire agreement (“Agreement”) between the parties and supersede any and all other terms or agreements, whether written or oral, that may exist between them. The Site is offered and available to users who are at least eighteen (18) years or older (or over the legal age of majority in your jurisdiction), and by using the Site, you represent and warrant that (i) you have read, understand and agree to be bound by these Terms; and (ii) you are at least eighteen (18) years old; and (iii) you are authorized to enter into this Agreement.

3. Amendment of Terms and Modification of Site. Abby’s reserves the right to amend these Terms at any time in its sole and absolute discretion. Continuing to access or use the Site or use Cleaning Services constitutes Customers acceptance of such amendments. Further we reserve the right to modify, suspend, or discontinue the Site (or any part of the Site or any Cleaning Services), temporarily or permanently, for any or no reason and without notice. For example, we may change the information and materials on the Site from time to time at our sole discretion, and we may restrict access to some or all of the Site to users.

4. Abby’s Cleaning Services

4.1. Scheduling. Customers that submit a request for Cleaning Services on the Site will receive a quote for the requested Cleaning Services on the specified date via e-mail (the “Quote”). After receiving the Quote, Abby’s will contact Customer to confirm the price for the requested Cleaning Services. Commercial customers shall confirm the appointment for Cleaning Services by submitting a non-refundable deposit consisting of fifty percent (50%) of the total quoted price (the “Commercial Deposit”). Residential and returning customers shall confirm the appointment for Cleaning Services by submitting a non-refundable deposit consisting of thirty percent (30%) of the total quoted price (the “Residential Deposit”).

4.2. Cleaning Services Acceptance. Abby’s reserves the right, at its sole discretion, to refuse any appointment for Cleaning Services for any reason.

4.3. Damage or Breakage. Abby’s maintains liability insurance for damage or breakage, excluding damage caused by normal wear and tear, caused while performing Cleaning Services. Notification of damage or breakage must be made within twenty-four (24) hours of the completion of Cleaning Services. Abby’s will not be held liable for any damages or losses incurred during Cleaning Services, except in cases of proven negligence on our part.

4.4. Pets and Valuables. Any pets that are on the site where Cleaning Services are being conducted need to be secured and out of the way for the safety of our cleaning team and your pets. Abby’s will not be responsible for your pets if they are not secured or for their escape. Please secure all valuables, collectibles, heirlooms or any other similar items in order to help reduce accidents.

4.5. Cleaning Supplies. Cleaning supplies to be used will be provided by Abby’s. All products used, to the best of Abby’s knowledge, will be environmentally friendly products.

5. Prices and Payment. The prices for Cleaning Services are subject to the Quote and are only valid for as long as the parameter of Cleaning Services remains unchanged. Any changes in Cleaning Services may result in an adjustment to prices in the Quote, decided by Abby’s, in our sole discretion. The Customer shall pay the Commercial Deposit or Residential Deposit, as applicable, through the Site or on another agreed-upon platform, prior to performance of Cleaning Services. You shall pay the remaining amount of the quoted price through the Site or on another agreed-upon platform, within twenty-four (24) hours of completion of the Cleaning Services.

5.1. Recurring Cleaning Services. Customers who request recurring Cleaning Services shall submit payment through the Site in advance of each scheduled Cleaning Service.

5.2. Late Payment. In the event Customer payments are not received by Abby’s within thirty (30) days after becoming due, Abby’s may charge interest on any such unpaid amounts at a rate of one percent (1%) per month or, if lower, the maximum amount permitted under applicable law, from the date such payment was due until the date paid.

5.3. Payment Returned Due to NSF. Should the Customer’s payment be unsuccessful due to non-sufficient funds (NSF) the Customer shall pay a fee of twenty-five dollars ($25.00) (the “NSF Fee”) to Abby’s. Abby’s may resubmit payment after receipt of the NSF Fee, but the resubmission shall not be attempted more than three (3) times total. The NSF Fee does not include any personal fees that may be charged by the Customer’s own bank.

5.4. Additional Fees. Abby’s offer Cleaning Services free of travel costs within a twenty (20) mile radius of the business’s main office. After the complementary twenty (20) miles, a travel fee of fifty-eight cents ($0.58) per mile will be added to the final bill.

5.5. Cleaning Services Limitations. Please note the following Cleaning Services limitations:

5.5.1. For safety and insurance purposes, we do not climb higher than a two-step ladder. We will attempt to reach all visible areas with either an extension duster or vacuum extension.

5.5.2. We do not open closed doors in a home unless provided written instruction to do so. Please specifically alert Abby’s cleaning team in writing before Cleaning Services begin if a room with a closed door should be receiving Cleaning Services.

5.5.3. We cannot move items weighing more than 20 pounds.

5.5.4. We cannot touch or move firearms in order to clean an area. Clients who own firearms should move them to an area we do not clean.

5.5.5. We do not clean animal/human feces, urine, vomit, blood or other similar bio-hazard materials.

5.5.6. We do not use bleach, except for at the client’s request. Please note, we will not be responsible for damage it may cause.

5.5.7. We clean “living space” only, which is the area in a home or facility that has conditioned air. “Living space” does not include areas open to exterior heat or cold.

6. Cancellation Policy and Fees. By agreeing to these Terms, the Customer acknowledges that the Cancellation Policy and fees are accessible here and are hereby incorporated into these Terms by reference.

7. Intellectual Property. All content, trademarks, or materials provided on the Site are the property of Abby’s and/or applicable third parties and may not be used without express written permission from the applicable owner.

8. Indemnification. Customer agrees to indemnify, defend and hold Abby’s harmless from and against any and all claims, losses, liability (including reasonable attorney’s fees and costs) and demands due to bodily injury (including death), property damage, or any violation or alleged violation of law to the extent caused by Customer’s breach of this Agreement or by any negligent act, negligent omission or willful misconduct of Customer or its employees, agents or contractors in the performance of these Terms. Abby’s shall not be held responsible by the Customer for losses, costs, expenditures, debts or damages of any nature whatsoever related to these Terms caused directly or indirectly.

9. LIMITATION OF LIABILITY. ABBY’S WILL NOT BE HELD LIABLE FOR ANY DAMAGES OR LOSSES INCURRED DURING THE CLEANING SERVICES, EXCEPT IN CASES OF PROVEN NEGLIGENCE ON OUR PART.

10. Links to Third Party Sites. The Site may provide links to other websites on the Internet that are operated and maintained by third parties. These websites operate independently from Abby’s and are not under our control or responsibility. In addition, you may be required to download certain programs, products, or services from such third parties. The existence of such links to other websites does not constitute an endorsement by Abby’s of those other websites, the content displayed therein, the programs, products, or services described thereon, or the persons or entities associated therewith. You accept sole responsibility for and assume all risk arising from your use of any such websites.

11. Privacy. By accessing and/or using the Site or Cleaning Services, you acknowledge that you have reviewed, understand, accept and agree to be bound by the terms of our Privacy Policy which governs, among other things, how we collect, use, and disclose information through the Site or Cleaning Services

12. Termination. Abby’s may, in its sole discretion, and at any time, discontinue the Site or these Terms, or any part thereof, with or without notice.

13. Force Majeure. Other than the obligation to make payments as required, neither of the parties shall be held responsible for failing to carry out its obligations under this Agreement for a cause beyond its reasonable control.

14. Assignment. Customer may not, without prior written consent from Abby’s, transfer any of its rights or obligations under these Terms. Abby’s may freely assign or delegate all rights and obligations under this Agreement, fully or partially without notice to Customer.

15. Severability and Waiver. If any term, clause, or provision of these Terms is determined to be invalid, illegal, or unenforceable, such provision shall be withdrawn from the Terms and shall in no way effect the validity or enforceability of other provisions. Our failure to enforce any provision of these Terms or respond to a breach by you or any other party shall not in any way waive our right to enforce subsequently any terms or conditions of these Terms or to act with respect to similar breaches.

16. Governing Law; Disputes. The laws of Wisconsin govern all matters arising under or relating to these Terms, including torts. Any dispute arising from the use of the Site and/or Cleaning Services may be subject to arbitration or mediation, at the sole discretion of Abby’s.
